Pact — Terms of Service

Version 1.0 · Last Updated: September 1, 2026 — effective for all accounts created on or after this date.

Drafted with AI assistance and not reviewed by a licensed attorney. This is not legal advice, and Pact App Store recommends independent legal review before relying on these Terms in a dispute — particularly Section 17 (Binding Arbitration), since arbitration and class-action-waiver clauses are restricted or disfavored for certain claims in some states.

1. Acceptance of Terms

These Terms of Service ("Terms") form a legally binding agreement between you ("User," "you") and Pact App Store ("Pact," "we," "us," "our"). By checking the box to accept these Terms and creating a profile, you affirmatively agree to be bound by these Terms and our Privacy Policy, incorporated here by reference. If you do not agree, you may not create a profile or use the Service.

You must click to affirmatively accept these Terms before your profile is created. Continued use of the Service after any update to these Terms constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 18 years old and capable of forming legally binding contracts under applicable law to use Pact. By creating a profile, you represent that you meet these requirements. Business profiles represent that the individual creating the profile is authorized to bind the business entity.

3. Description of Service

Pact is a software platform that allows verified users to create, edit, negotiate, execute, store, and manage contracts between parties. Pact provides templates, an AI-assisted drafting and summarization tool, e-signature functionality, and a searchable contract record.

Pact is a technology platform, not a party to any contract created using the Service. Pact does not draft, negotiate, or agree to any contract terms on behalf of any user, and is not a signatory, guarantor, or beneficiary of any agreement created through the Service unless explicitly and separately stated in writing.

4. Not a Law Firm; No Legal Advice; No Attorney-Client Relationship

Pact is not a law firm and does not provide legal advice, representation, or attorney-client services of any kind. Templates, AI-generated drafts, AI summaries, and AI suggestions are provided as general-purpose tools and starting points only. They are not a substitute for review by a licensed attorney in your jurisdiction.

No attorney-client relationship is formed between you and Pact, or between you and any attorney made available through any Pact marketplace or referral feature, except to the extent you separately and directly engage that attorney under their own engagement terms.

You are solely responsible for determining whether any contract created through the Service is legally sufficient, enforceable, and appropriate for your situation, and for obtaining independent legal counsel before relying on, signing, or acting upon any contract.

5. AI-Generated Content Disclaimer

Pact's AI drafting, summarization, and suggestion features use artificial intelligence and are provided "as is." AI-generated content may contain errors, omissions, or inaccuracies, and may not reflect the most current law in any jurisdiction. You acknowledge that you review all AI-generated content before relying on it, and that Pact is not responsible for the accuracy, completeness, or legal sufficiency of any AI-generated content.

6. State-Specific Contracts; No Guarantee of Enforceability

Contract requirements vary by state and by contract category, and some categories (including but not limited to family law, real estate, and employment) may require court filing, specific statutory language, or attorney or judicial review that the Service does not provide. Pact does not guarantee that any contract created, signed, or stored through the Service is valid, binding, or enforceable in any jurisdiction. Selecting a governing-law state within the Service does not constitute a legal determination that the resulting document complies with that state's requirements.

7. Account Registration & Identity Verification

To use certain features, you must create a profile and complete identity verification. Individual profiles are verified in part using identity information, which may include information associated with your Social Security Number; business profiles are verified using your Employer Identification Number. Pact does not store your raw Social Security Number or Employer Identification Number. Verification is performed through a third-party identity verification provider, and Pact retains only a verification result and a tokenized reference, as described in our Privacy Policy.

You agree to provide accurate, current, and complete information, and to keep it updated. You are responsible for safeguarding your login credentials and for all activity under your profile. You agree to notify us immediately of any unauthorized use of your account.

8. Contracts Between Users

Contracts created between users through the Service are agreements solely between those users. Pact is not responsible for, and assumes no liability for, the negotiation, terms, performance, breach, or enforcement of any contract between users. Any dispute arising from a contract between users must be resolved between those users, including through litigation, arbitration, or other means available under the terms of that contract or applicable law.

9. Electronic Signatures

By using the Service's signature features, you consent to conduct transactions electronically and agree that your electronic signature has the same legal effect as a handwritten signature, to the extent permitted under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable state adaptations of the Uniform Electronic Transactions Act (UETA).

10. Subscription Fees & Billing

Certain features require a paid subscription. Fees, billing frequency, and tier features are described at the time of purchase and may be updated with notice. Except as required by law or expressly stated at time of purchase, fees are non-refundable. You authorize Pact to charge your selected payment method on a recurring basis until you cancel.

11. User Content License

You retain ownership of the content and contracts you create using the Service ("User Content"). You grant Pact a limited, non-exclusive, worldwide license to host, store, reproduce, and display your User Content solely as necessary to operate, maintain, and provide the Service to you and to other parties you designate on a given contract.

12. Prohibited Uses

You agree not to: use the Service for any unlawful purpose; impersonate any person or entity or misrepresent your identity or authority; upload false identity or verification information; use the Service to create fraudulent contracts; attempt to gain unauthorized access to the Service or other users' accounts or data; interfere with the Service's security features; or use automated means to scrape or extract data from the Service without written permission.

13. Termination

We may suspend or terminate your access to the Service at our discretion, with or without notice, for violation of these Terms, suspected fraud, or as required by law. You may terminate your account at any time. Termination does not affect the validity of contracts already executed through the Service, nor does it relieve you of obligations incurred before termination, including outstanding fees.

13a. Account Closure & Data Retention

Closing your account. You may close your account at any time through the Service. Closing your account immediately disables login, cancels future billing, and removes your profile from search and discovery. Closing your account does not immediately erase all data associated with it — see the retention terms below.

Contracts are not solely yours to delete. Because a contract created through the Service may involve one or more other parties, closing your account does not delete contracts to which another party is also a signatory or named counterparty. The other party's access to a shared, executed contract is preserved regardless of any action you take on your own account. Pact retains executed contracts and their associated audit trail (creation, edit, view, and signature history) for seven (7) years following the contract's execution or termination date, or longer if required by applicable law, an open dispute, or a legal hold, whichever is later.

Personal profile data. Personal information not required to preserve an executed contract or satisfy a legal retention obligation (such as your name, contact information, and profile details not embedded in a signed contract) will be deleted or de-identified within thirty (30) days of account closure, provided no contract tied to your profile is active, pending signature, or subject to dispute or legal hold.

Requests under applicable privacy law. Where applicable law (such as the California Consumer Privacy Act or comparable state privacy laws) gives you the right to request deletion of your personal information, you may submit that request to privacy@pactappstore.com. We will respond within the time required by applicable law. We may deny or limit a deletion request to the extent retention is necessary to complete a transaction, detect security incidents, comply with a legal obligation, or as otherwise permitted by law — including retaining contract records as described above.

Manual review. Some closure or deletion requests will be routed for manual review rather than processed automatically, including where: a contract tied to the account is actively in dispute; a contract is mid-signature (pending execution by another party); the account is under a fraud or security investigation; or the account is subject to a legal hold. You will be notified if your request requires manual review and of the expected timeframe for resolution.

Records of deletion requests. Pact maintains an internal record of each account closure and deletion request, including what was deleted, what was retained, and the basis for retention, for our own compliance and audit purposes.

14. Disclaimer of Warranties

THE SERVICE, INCLUDING ALL TEMPLATES, AI-GENERATED CONTENT, AND FEATURES, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF CONTENT. Pact does not warrant that the Service will be uninterrupted, error-free, or secure, or that any contract created through the Service will be legally valid or enforceable.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PACT, ITS OFFICERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR THE UNENFORCEABILITY OF ANY CONTRACT CREATED THROUGH THE SERVICE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF PACT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

PACT'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID PACT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

16. Indemnification

You agree to indemnify, defend, and hold harmless Pact and its officers, employees, and affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service; (b) your breach of these Terms; (c) any contract you create, sign, or store through the Service; (d) your violation of any law or the rights of any third party; or (e) inaccurate information you provide during identity verification.

17. Dispute Resolution; Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

Except for claims that qualify for small claims court, you and Pact agree that any dispute arising out of or relating to these Terms or the Service will be resolved through binding individual arbitration administered by the American Arbitration Association under its rules then in effect, rather than in court, except that either party may bring an individual action in small claims court.

YOU AND PACT EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. All disputes must be brought in an individual capacity only.

18. Governing Law; Venue

These Terms are governed by the laws of the State of Arkansas, without regard to conflict-of-law principles, except as superseded by the Federal Arbitration Act with respect to Section 17. Venue for any matter not subject to arbitration shall lie exclusively in the state or federal courts located in Pulaski County, Arkansas.

19. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the Service or email, and will require re-acceptance before continued use. Your continued use of the Service after the effective date of updated Terms constitutes acceptance.

20. Severability; Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Pact regarding the Service.
